1. Agreement to Terms

By creating an account, accessing the AARA API, or deploying our ingestion scripts, you enter into a legally binding contract with AARA Orchestration Systems Inc. These terms are non-negotiable and supersede any previous agreements or understandings.

2. Use of Service & Liability Caps

The AARA platform is provided "AS-IS" and "AS-AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AARA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

In no event shall AARA's total cumulative liability for all claims arising out of or related to this agreement exceed the total amount paid by you to AARA in the three (3) months preceding the event giving rise to the claim.

3. Proprietary Insights & Data Rights

While you retain ownership of your merchant catalog, you grant AARA a perpetual, irrevocable, worldwide, royalty-free license to utilize anonymized telemetry and agent behavior patterns for the purpose of enhancing our "Proprietary Fingerprinting Models" and general platform optimization.

4. Mandatory Arbitration

Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof shall be determined by binding arbitration in Delaware, USA, before one arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

5. Termination

AARA reserves the right to terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

6. Indemnification

You agree to defend, indemnify and hold harmless AARA and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.
